Walmart-owned ecommerce major Flipkart has announced its second ESOP liquidity event over the past year, allowing eligible employees to sell up to 5% of their outstanding options vested over the past three years.

In an internal email to employees, Flipkart Group CEO Kalyan Krishnamurthy said the company’s board approved the liquidity event after reviewing its progress over the past year.

Under the Flipkart Stock Option Plan 2026, all active employees on the company’s rolls as of July 15, 2026 will be eligible to participate. Employees can liquidate up to 5% of their outstanding options vested over the preceding three years, between July 16, 2023 and July 15, 2026.

The company has fixed the liquidity price at ₹713.4 per option, with payouts scheduled for August 2026.

Inc42 has accessed the email sent by Krishnamurthy.

This comes a year after Flipkart informed employees that it planned to conduct two ESOP liquidity events, with the second one contingent on the company meeting certain performance goals.

Last year, the company announced a $50 Mn (nearly ₹430 Cr) ESOP buyback programme.

Krishnamurthy also reiterated Flipkart’s long-term plans following its move to shift its holding company from Singapore to India, saying the company remains focused on building a global technology and commerce business from India.

The liquidity event comes at a time when Flipkart is expanding across multiple verticals. Besides scaling up its quick commerce business Flipkart Minutes, the ecommerce giant has also been eyeing entry into the food delivery, ticketing and live events segments.

Last month, the company said it has launched 1,000 ‘micro-fulfilment centres’ for Minutes across 130 cities, servicing over 8,000 pincodes across the country. It is now eyeing over 1,500 centres across 180 cities in the next few months.

The Walmart-backed company has also been preparing for an eventual public listing in India. After completing its reverse flip earlier this year, Flipkart was said to be exploring a pre-IPO funding round of $2 Bn to $2.5 Bn.

However, reports later suggested that the company has deferred its IPO plans until at least 2028 after parent Walmart asked it to prioritise achieving EBITDA breakeven in FY27.

Meanwhile, Flipkart has also been dealing with legal challenges. Last month, the Bengaluru bench of the National Company Law Tribunal (NCLT) issued a notice to the ecommerce major after a former marketing service provider filed an insolvency petition alleging unpaid dues of ₹1.69 Cr.

Operationally, Flipkart has continued to improve its financial performance. In FY25, its marketplace arm narrowed its net loss by 37% to ₹1,494 Cr from ₹2,359 Cr in the previous year, while operating revenue grew 14% to ₹20,493 Cr from ₹17,907 Cr in FY24. It is yet to file its FY26 numbers.
