Info Edge has approved the acquisition of the remaining 45.36% stake in Coding Ninjas from the edtech platform’s founders for about Rs 39.91 crore, making the company a wholly owned subsidiary.

The Naukri parent will acquire 74,741 equity shares of Sunrise Mentors Private Limited, which operates Coding Ninjas, at Rs 5,340.23 per share. The acquisition will be carried out through a secondary purchase of shares held by the founders.

The transaction is expected to be completed within 45 days, subject to customary conditions under the share purchase agreement.

Info Edge will pay 25% of the total consideration, amounting to about Rs 9.98 crore, at the closing of the agreement. The remaining Rs 29.93 crore will be paid in three equal tranches on 31 March 2027, 31 March 2028 and 31 March 2029.

The company said the acquisition will help deepen business synergies between Naukri and Coding Ninjas, support growth and profitability at the edtech platform, and enable Naukri to build “mini AI course offerings” for its users.

As part of the arrangement, the founders of Coding Ninjas will be employed by Info Edge and receive salaries and performance-linked incentives.

Info Edge said the acquisition is a related-party transaction because Coding Ninjas is already its subsidiary and the sellers are whole-time directors of the edtech company. The company said the consideration was commercially negotiated and that its audit committee and board considered the transaction to be in the best interests of the company and its shareholders.

Coding Ninjas was incorporated in May 2016 and provides online education through its e-learning platform. The company reported turnover of Rs 97.43 crore in FY26, up from Rs 67.15 crore in FY25 and Rs 53.31 crore in FY24.

It posted a loss of Rs 13.36 crore in FY26, while its net worth stood at negative Rs 34.98 crore as of 31 March 2026.

Info Edge had earlier approved an investment of about Rs 135.4 crore in Coding Ninjas in October 2022 through a mix of primary and secondary share purchases. That transaction raised its stake from about 26% to 51%, making Coding Ninjas a subsidiary of the company.

Separately, Info Edge’s board approved an additional commitment of up to Rs 180 crore to B8 Fund I, a scheme launched by B8 Trust, which is registered with the SEBI as a Category II Alternative Investment Fund.

The fresh commitment is in addition to the Rs 250 crore previously approved by the company in February 2026.

Smartweb Internet Services, a wholly owned subsidiary of Info Edge, acts as the investment manager and sponsor of B8 Fund I. The fund is aimed at backing growth-stage, tech-enabled companies in India or companies primarily focused on India.

Info Edge said the investment is in line with its strategy of making external financial investments focused on medium- to long-term value creation.
