Social Worth Technologies Ltd, the parent of digital lending platform Fibe, has filed draft papers with the SEBI for an IPO comprising a fresh issue of shares worth up to Rs 750 crore and an offer for sale of up to 40,071,200 equity shares by existing shareholders.
The offer for sale will see participation from investors including The Rise Fund III SF, Norwest Capital, Eight Roads Ventures India III, Piramal Finance, Kariba Holdings V Mauritius II, Galaxystar Ground, IDG Ventures India Fund III, Sabre Investment Consultants, Chiratae Trust and Utkarsh.
According to the DRHP, the company may consider raising up to Rs 150 crore through a pre-IPO placement before filing its red herring prospectus with the Registrar of Companies.
Fibe plans to use Rs 562.6 crore from the fresh issue proceeds to invest in its material subsidiary, ESPL, to strengthen its capital base and support onward lending requirements. The remaining proceeds will be used for general corporate purposes. Proceeds from the OFS will go to the selling shareholders.
The company said the listing is expected to enhance its brand name and create a public market for its equity shares in India. Half of the issue will be reserved for qualified institutional buyers, 35% for retail investors and 15% for non-institutional investors. The shares are proposed to be listed on the BSE and NSE.
Fibe, formerly EarlySalary, was founded in 2015 by Akshay Mehrotra and Ashish Sohan Goyal. The Pune-based company offers personal loans and purpose-driven financing across segments such as consumption, education, healthcare and insurance.
The company said technology forms the backbone of its operations, with AI, machine learning and data science used across customer onboarding, underwriting, risk management, fraud detection, operations and collections.
Fibe’s assets under management rose to Rs 8,603 crore as of March 31, 2026, from Rs 4,064 crore as of March 31, 2024. Personal loans accounted for 77.38% of total AUM, while purpose-driven financing contributed 22.62%. Profit rose to Rs 257.46 crore in FY26 from Rs 101.24 crore in FY24.
The Rise Fund III SF is Fibe’s largest shareholder with a 23.26% stake, followed by Norwest Capital at 13.38%, Eight Roads Ventures at 13.02%, Piramal Finance at 7.06%, Kariba Holdings at 5.92% and International Finance Corporation at 5.31%.
The company operates in a segment where asset quality and regulatory developments remain important monitorables. CareEdge Ratings, in a November 2025 note on ESPL, cited moderate asset quality metrics marked by higher write-offs and regulatory risk in digital lending among key weaknesses, while also noting the group’s improved scale and capitalisation.
Kotak Mahindra Capital Company, Axis Capital, DAM Capital Advisors and JM Financial are the book-running lead managers to the issue. MUFG Intime India is the registrar.
